T-Kábel and Dél-Vonal merge into Magyar Telekom

Budapest, October 1, 2009 14:00

In compliance with the resolutions passed by the Extraordinary General Meeting of Magyar Telekom on June 29, 2009, the legal merger of T-Kábel Magyarország Kft (T-Kábel) and Dél-Vonal Kft (Dél-Vonal) into Magyar Telekom Nyrt. was completed on September 30, 2009.

On August 31, 2009 the Court of Registration registered the merger and all the other changes based on the resolutions taken at the extraordinary shareholders' meeting of Magyar Telekom. As a result of the changes with effect October 1, 2009 Magyar Telekom Nyrt. becomes the general legal successor of T-Kábel and Dél-Vonal.

The registered and now effective merger represents an important new step in the process of integration of the Magyar Telekom Group which is focusing on improving service quality and customer care, as well as increasing efficiency and exploiting synergies.

As a result of the integration, from October 1, 2009 the equity of Magyar Telekom Nyrt. will be decreased by HUF 307,200 i.e. the nominal value of 3,072 shares. Consequently, the company's equity will be adjusted to HUF 104,274,254,300 (consisting of 1,042,742,543 Series 'A' registered shares of HUF 100 face value).

Magyar Telekom will fulfill the obligations and contracts of T-Kábel and Dél-Vonal and will continue to provide service in uninterrupted and unchanged form to customers under the T-Home brand. The subscriber contract terms and conditions will be automatically taken over and fulfilled by the legal successor Magyar Telekom from the date of the legal merger. The customers concerned will be directly informed in detail about the integration.

Since September 2008 the cable television services of the Magyar Telekom Group are available under the T-Home brand, this will not change either as a result of the merger. Up to date information on T-Home services is available on the www.t-home.hu website, on the 1412 toll-free customer service number and at the T-Pont shops or franchise partners.
