The Registration Court registered the merger of Magyar Telekom and T-Mobile Hungary

Today the Registration Court registered the merger of Magyar Telekom Ltd. and T-Mobile Hungary Ltd. and the modifications in Magyar Telekom Ltd.'s Articles of Association approved by the extraordinary General Meeting on December 20, 2005. Accordingly as of March 1, 2006 T-Mobile Hungary Ltd.'s successor will be Magyar Telekom Plc. T-Mobile as a Magyar Telekom line of business will fulfill its obligations and commitments and provide seamless services to its customers in unchanged form. This modification will not impose any task on the customers having a contract with T-Mobile.

Today the Registration Court registered the merger of Magyar Telekom Ltd. and T-Mobile Hungary Ltd. As a result as of March 1, 2006 Magyar Telekom Ltd. will become general successor of T-Mobile Hungary Ltd., while T-Mobile continues its operations as an independent brand and independent line of business within the Magyar Telekom Group. T-Mobile as Magyar Telekom's line of business will fulfill its obligations and commitments, providing seamless services to its customers in unchanged form. This modification will not impose any task on the customers having a contract with T-Mobile.

Following registration by the Registration Court, as of March 1, 2006 Magyar Telekom Ltd.'s company name will change to Magyar Telekom Telecommunications Public Limited Company, abbreviated name: Magyar Telekom Plc.

According to the registration by the Registration Court, Magyar Telekom Plc.'s equity will be reduced by the face value of 43,385 shares to HUF 104,276,831,500 because two shareholders did not want to participate as investor in the successor company. Accordingly the Company's equity will consist of 1,042,768,215 Series A ordinary shares of HUF 100 face value and 1 Series B registered preference voting share of HUF 10,000 face value.
